Terms of Service

1. Description of Service

Video Media Factory (“Service,” “platform,” or “VMF”) is an AI-powered video production, clip intelligence, campaign-page, and publishing-handoff platform operated by BookAI Studio, a DBA of BrightSpan Holdings LLC (“Company,” “we,” “us,” or “our”). The Service includes web applications, APIs, dashboards, rendering pipelines, integrations with third-party providers, and any related support or documentation.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. By using the Service, you represent that you meet these requirements. If you use the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend accounts that violate these Terms or that present security risks.

4. Purchase, Pricing, and Payment

The Service offers subscription plans and usage-based credits. All fees are quoted in U.S. dollars, are non-refundable except as set out in our Refund Policy, and are processed securely through Stripe. We may change pricing with reasonable notice to active subscribers. You are responsible for all applicable taxes.

  • Subscriptions auto-renew unless cancelled before the renewal date.
  • Usage-based credits expire according to the plan terms shown at purchase.
  • Failed payments may result in suspension of render jobs and account access.

5. No Guaranteed Results

We do not guarantee any specific business outcome, view count, engagement, monetization status, revenue, or publishing success from videos created with the Service. Results depend on many factors outside our control, including platform algorithms, audience behavior, content quality, and your own publishing strategy.

6. User Content, License, and Ownership

You retain ownership of the media, scripts, campaign materials, and other content you upload or generate (“User Content”). You grant us a limited license to process, store, render, and transmit your User Content solely to provide the Service.

You are solely responsible for ensuring that your User Content does not violate any intellectual-property rights, privacy rights, publicity rights, or the policies of any third-party platform (such as YouTube, TikTok, Instagram, Facebook, LinkedIn, or X) where you choose to publish.

7. Intellectual Property

The Service, its code, interfaces, designs, templates, and generated system outputs (such as default templates and analytics reports) are owned by BookAI Studio / BrightSpan Holdings LLC and protected by copyright, trademark, and other intellectual-property laws. You may not copy, reverse-engineer, decompile, scrape, or resell the Service.

8. Acceptable Use

You agree not to use the Service to:

  • Generate, upload, or distribute unlawful, defamatory, fraudulent, hateful, harassing, violent, sexually explicit, or obscene content;
  • Impersonate any person without clear disclosure, or generate synthetic media intended to deceive or defraud;
  • Infringe copyrights, trademarks, trade secrets, or other proprietary rights;
  • Probe, attack, interfere with, or overload our systems or networks;
  • Scrape, harvest, or collect data from the Service without authorization;
  • Circumvent usage limits, billing controls, or access restrictions;
  • Use the Service in violation of any applicable law or platform policy.

9. AI-Generated Content and Third-Party Platform Compliance

The Service uses artificial-intelligence models and integrations with providers such as MiniMax, Runware, WaveSpeed, MuAPI, AIHubMix, Fish Audio, Shotstack, Creatomate, and others. You are responsible for complying with the terms of service, content policies, and advertising guidelines of every platform where you publish content created with the Service, including Meta (Facebook/Instagram), TikTok, Google/YouTube, X, LinkedIn, and others.

We provide tools and templates; we do not control platform approval decisions, ad-account status, or publishing outcomes.

10. API Terms

If you access our API, you must follow rate limits, authentication requirements, and documentation. API access is subject to separate plan limits. Misuse, key sharing, or excessive automated access may result in suspension.

11. Third-Party Services and Links

The Service integrates with third-party providers for rendering, hosting, payment, analytics, and social publishing. Your use of those services is governed by their respective terms and privacy policies. We are not responsible for their availability, changes, or actions.

12. Refunds, Cancellations, and Termination

Refunds are governed by our Refund Policy. You may cancel your subscription at any time through your billing settings or by contacting support. We may suspend or terminate your account immediately for breach of these Terms, fraudulent activity, or harm to our systems or other users.

13. Disclaimers of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOKAI STUDIO / BRIGHTSPAN HOLDINGS LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

15. Indemnification

You agree to indemnify and hold harmless BookAI Studio / BrightSpan Holdings LLC and its officers, employees, and agents from any claims, damages, or expenses arising from your User Content, your use of the Service, or your violation of these Terms or any third-party rights.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Florida. Before filing any claim, the parties agree to attempt good-faith resolution through written notice and negotiation.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with a revised “Last updated” date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

18. Severability and Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force. These Terms, together with our Privacy Policy, Cookie Policy, Refund Policy, Acceptable Use Policy, and any plan-specific terms, constitute the entire agreement between you and BookAI Studio regarding the Service.
